Please read these Terms of Service carefully before using the Wedi payment orchestration platform.
1. Acceptance of Terms
By accessing or using Wedi ("the Platform", "our Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service. These Terms constitute a legally binding agreement between you and Wedi, Inc. ("Wedi", "we", "us", or "our").
2. Description of Service
Wedi is an AI-powered payment orchestration platform that enables businesses to:
- Generate and manage payment links for cross-border transactions
- Accept payments in multiple currencies (USD, COP, MXN, USDC)
- Process payments through multiple payment rails (bank transfers, cards, cryptocurrency)
- Receive automated settlements with transparent fee structures
- Access real-time transaction tracking and reporting
We operate as a payment facilitator and work with third-party payment processors to provide these services.
3. Account Registration and KYC/AML
3.1 Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Represent a legitimate business entity or operate as a sole proprietor
- Not be located in a restricted jurisdiction or on any sanctions list
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breaches
- Providing accurate and complete information during registration
3.3 Identity Verification (KYC)
In compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations, we are required to verify your identity. You agree to provide:
- Government-issued identification documents
- Proof of address
- Business registration documents (for business accounts)
- Beneficial ownership information
- Additional documentation as required by regulations
4. Acceptable Use Policy
You agree not to use our Service for:
- Illegal Activities: Any unlawful purpose or activity prohibited by applicable laws
- Fraudulent Transactions: Deceptive, fraudulent, or manipulative practices
- Money Laundering: Transactions designed to conceal the source of illegally obtained funds
- Terrorist Financing: Supporting or financing terrorist organizations or activities
- Prohibited Businesses: Gambling, adult content, weapons, controlled substances, or other restricted industries
- Circumvention: Attempting to bypass security measures, rate limits, or access controls
- Service Abuse: Activities that interfere with platform operations or other users
Violation of this policy may result in immediate account suspension or termination and reporting to law enforcement.
5. Payment Processing
5.1 Third-Party Processors
We work with third-party payment processors (including Velafi, Circle, and others) to facilitate transactions. While we select reputable providers, we are not responsible for their actions, errors, or failures. Your transactions with these processors are subject to their terms and conditions.
5.2 Transaction Authorization
By initiating a transaction, you authorize us to:
- Deduct the transaction amount plus applicable fees from the payer
- Process the transaction through our selected payment rails
- Convert currencies at prevailing market rates when necessary
- Settle funds to your designated account minus our fees
5.3 Transaction Limits and Holds
We reserve the right to impose transaction limits, delay settlements, or place holds on funds if we suspect fraud, illegal activity, or to comply with regulatory requirements. We will notify you of any such actions.
6. Fees and Charges
6.1 Standard Fees

6.2 Fee Structure
- All fees are all-inclusive with no hidden charges
- Fees include payment processing, settlement, currency conversion, and platform usage
- No setup fees, monthly fees, or minimum transaction volumes
- Fees are automatically deducted from settlement amounts
- Refunded transactions do not receive fee refunds
6.3 Fee Changes
We may modify our fees with 30 days advance notice via email. Continued use of the Service after fee changes constitutes acceptance.
7. Intellectual Property Rights
The Platform, including all content, features, functionality, designs, logos, and software, is owned by Wedi and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Platform without prior written permission.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Wedi shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not responsible for losses caused by third-party payment processors, banks, or network failures
- We do not guarantee uninterrupted, error-free, or secure service
- You acknowledge that payment processing involves inherent risks including delays, errors, and fraud
Some jurisdictions do not allow limitation of liability for consequential damages, so the above limitations may not apply to you.
9. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding accuracy, reliability, or availability of the Service
- Warranties that the Service will be error-free or uninterrupted
- Warranties regarding the results obtained from using the Service
10. Indemnification
You agree to indemnify, defend, and hold harmless Wedi, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of third parties; (d) any fraudulent or illegal activity; or (e) your violation of applicable laws or regulations.
11. Account Suspension and Termination
11.1 Termination by You
You may terminate your account at any time by contacting support. Upon termination, you remain liable for all outstanding fees and obligations.
11.2 Termination by Wedi
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- We suspect fraudulent, illegal, or high-risk activity
- Required by law or regulatory authorities
- You fail to respond to KYC/AML verification requests
- Your account remains inactive for 12 consecutive months
11.3 Effect of Termination
Upon termination, we will process any pending settlements, return eligible funds, and retain data as required by law. Termination does not relieve you of obligations incurred prior to termination.
12. Dispute Resolution
12.1 Transaction Disputes
For transaction-related disputes, you agree to first attempt resolution through our customer support. We will investigate and respond within 10 business days.
12.2 Arbitration Agreement
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits or class-wide arbitration.
12.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
13. Regulatory Compliance
You acknowledge and agree that:
- You will comply with all applicable laws, including tax, AML, and consumer protection laws
- You are responsible for determining and paying applicable taxes on transactions
- You will not use the Service in jurisdictions where it is prohibited
- You will cooperate with our compliance and verification processes
- You will promptly report any suspicious activity or regulatory inquiries
14. Data Protection and Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our data practices as described in the Privacy Policy.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days in advance via email or platform notification. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Wedi
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign these Terms without our written consent
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
